Glendale Alumni Association
CONSTITUTION
Article I - Name
The name of this organization shall be "Glendale Alumni Association" and will operate under the non-profit status of Glendale School District #77, Glendale, Oregon.
Article II - Purpose
Section 1 - The Glendale Alumni Association is formed to provide a communication and organizational method for all Glendale Alumni.
Section 2 - To sponsor fund raising activities with proceeds to be used for projects with-in the School District. Fund raising proceeds will be allocated under the direction of the Board of Directors of the Association.
Section 3 - To support extra curricular award functions.
Article III - Membership
Section 1 - Membership shall be open to all Glendale School District Alumni.
Section 2 - Membership shall be valid upon payment of dues for the calendar year.
Article IV – Officers/Board Members
Section 1 - A 9 member board of directors will govern the Association. A board member will be designated to represent each decade in which there are Alumni. The remaining board members will be considered “At-Large”.
Section 2 - The officers of the Glendale Alumni Association will be elected from the 9 member board. All board members are eligible for election to any officer position. Elected officers shall be: President, Vice-President, Secretary and Treasurer.
Section 3 – Election of Officers shall be held annually in December. Officers may be reelected for consecutive terms.
Section 4 - Officers shall assume the duties of Office on January 1st. The term of office is for one year.
Section 5 - The President, Vice-President, Secretary, and Treasurer must be active board members.
Section 6 - A vacancy occurring in any office shall be filled at the next regular meeting.
Section 7 - New board members shall be appointed by a majority vote of the existing board.
Section 8 - Once appointed, a board member will remain on the board until he/she retires from the position or until removed by a majority vote of the existing board members.
Section 9 - If a board member fails to attend 3 consecutive board meetings without good cause, he/she will be dismissed during the 4th meeting.
Article V - Duties of Officers
Section 1 - The President shall preside at all meetings of the Association and he or she shall perform duties as required by the Association.
Section 2 - The Vice-President assumes the duties of the President in the absence of that Officer and such duties as assigned to him by the President. The Vice-President will be the Publicity Chairperson. The Publicity Chairperson is in charge of club publicity including newspapers, radio, posters and bulletins.
Section 3 - The Secretary shall keep correct records of business proceedings including minutes of all meetings, the official membership list, list of committees, copy of the Constitution and By-Laws and correspondence.
Section 4 - The Treasurer shall be responsible for all monies due the club, and give Financial reports at board meetings. The Treasurer will disburse funds only with the majority vote of the Board of Directors.
The Treasurer will require invoices and receipts for disburse¬ments.
The Treasurer will be required to keep accurate records and breakdown of proceeds collected from memberships (individual, business, and supporters), and fund raising events.
